Terms of Service

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and FroschCo, LLC (“ShelfMapper,” “we,” “us,” or “our”), doing business as ShelfMapper. [TODO before launch: insert FroschCo, LLC registered physical mailing address.]

By accessing or using ShelfMapper (“Service”), you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

ShelfMapper helps you photograph bookshelves, detect book spines, look up titles, and organize your library on a map. Features and limits may differ between Free and Premium plans and may change over time.

3. License to use the Service

Subject to these Terms and the limits of your plan, ShelfMapper grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own household or internal library-management purposes.

Except for Your Content (defined below), ShelfMapper and its licensors own all right, title, and interest in the Service, including software, interfaces, branding, documentation, and related intellectual property. This license does not sell or transfer ownership of the Service to you.

You may not (and may not allow others to): copy, modify, distribute, sell, lease, rent, or publicly perform the Service; reverse engineer or attempt to extract source code except to the extent such restriction is prohibited by law; remove proprietary notices; or use the Service to build a competing product using non-public aspects of the Service.

We may update, suspend, or discontinue features. Your license ends when your account is closed or these Terms terminate.

4. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Provide accurate information and notify us promptly of unauthorized use.

5. Acceptable use

You agree not to misuse the Service, including by attempting to disrupt it, reverse engineer it except as permitted by law, scrape it excessively, upload unlawful content, or infringe others’ rights.

6. Your content and license to ShelfMapper

You retain all ownership rights in the photos, titles, notes, map placements, and other content you submit to the Service (“Your Content”).

To operate the Service for you, you grant ShelfMapper a limited, worldwide, non-exclusive, royalty-free, revocable license to host, store, transmit, reproduce, process (including OCR and similar analysis), display, and create technical derivatives of Your Content solely as needed to:

This license does not transfer ownership of Your Content to us. We will not sell Your Content. We will not use Your Content to train general-purpose machine-learning models for third parties without your separate permission. When you delete Your Content or your account, we will stop active use of that content except for limited residual copies in backups or logs retained for a reasonable period for security, disaster recovery, or legal compliance.

You represent that you have the rights needed to upload Your Content and that doing so does not violate law or others’ rights.

7. Subscriptions, billing, cancellations, and refunds

Paid plans may include a free trial (currently 7 days for first-time Premium subscribers, unless we state otherwise). After the trial, billing renews automatically at the then-current rate for your chosen interval (monthly or yearly) until you cancel. Fees are charged through our payment processor (Stripe). Prices and plan features may change; changes apply to later renewal periods as disclosed at checkout or in the Service.

Pre-renewal notice. Before each automatic renewal charge, we will send you a renewal reminder (typically by email to the address on your account) that states the renewal amount, the renewal date or billing interval, and how to cancel. Where a longer or more specific notice period is required by law, we will follow that requirement.

Cancellation (click to cancel). You may cancel renewal at any time through the billing portal linked from your account—an online cancellation path that is at least as easy as signing up. Cancellation stops future charges; it does not end access immediately. You keep Premium features until the end of the current trial or paid period, then your account returns to Free (or another plan we offer). Deleting your ShelfMapper account does not by itself cancel Stripe billing—cancel in the billing portal as well, or contact us if you need help.

Trials. During a free trial you may cancel before it ends and you will not be charged, unless you keep Premium past the trial end. If you have already used a trial on your account, a new trial may not be available.

Refunds. Except where required by law (including any applicable EU/EEA or UK 14-day cooling-off / withdrawal right for distance contracts), all fees are non-refundable, including partial periods, unused time, downgrades, or failure to cancel before renewal. If you are a consumer in the EU/EEA or UK with a statutory 14-day withdrawal right, you may cancel within that period as required by law; we will honor that right and any other mandatory refund or cancellation rights that apply to you. We may, in our sole discretion, issue a goodwill refund or credit in limited cases (for example, clear duplicate charges or billing errors). Request refunds by emailing legal@shelfmapper.com within a reasonable time after the charge and include your account email and the charge details.

Failed payments. If a renewal payment fails, we may retry the charge, suspend Premium features, and/or cancel the subscription until payment succeeds.

Chargebacks and payment disputes. If you have a billing concern, contact us first so we can help resolve it. Initiating a chargeback or payment dispute with your bank or card issuer for a legitimate ShelfMapper charge may result in suspension or termination of your account and Premium access while the dispute is pending. We may contest improper chargebacks and share relevant account and billing records with the payment processor. If a chargeback is reversed in our favor, or you reopen a subscription after a dispute, past-due amounts may remain payable.

Taxes, currency conversion, and processor fees (if any) are your responsibility where applicable, except where we are required to collect tax at checkout.

8. Third-party services

The Service may rely on third parties such as authentication, cloud storage, book metadata, OCR, and payment providers. Their terms and privacy practices apply to their services.

9. Copyright complaints (DMCA) and intellectual property

ShelfMapper respects intellectual property rights. If you believe content on the Service infringes your copyright, send a notice that substantially complies with 17 U.S.C. § 512(c)(3) to our designated agent:

ShelfMapper Copyright Agent
FroschCo, LLC
[TODO before launch: insert FroschCo, LLC physical mailing address.]
Email: copyright@shelfmapper.com

Your notice should include: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement under penalty of perjury that the information is accurate and that you are the owner or authorized to act for the owner.

If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice to the same address with the information required by 17 U.S.C. § 512(g). We may disable or terminate accounts that repeatedly infringe.

For other intellectual-property concerns (for example, trademark), contact legal@shelfmapper.com with a description of the issue and the material involved.

10. Disclaimers

The Service is provided “as is” and “as available.” Book detection and metadata may be incomplete or incorrect. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, ShelfMapper and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, profits, or goodwill arising from your use of the Service.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to ShelfMapper for the Service in the twelve (12) months before the claim, or (b) fifty U.S. dollars (US $50) if you have not paid any fees. This limit does not exclude or limit liability that cannot be limited under applicable law (for example, liability for fraud or willful misconduct, or for death or personal injury caused by negligence where such limitation is prohibited).

12. Termination

We may suspend or terminate access if you violate these Terms or if we discontinue the Service. You may stop using the Service and delete your account at any time, subject to applicable retention needs. Upon termination, the license in Section 3 ends immediately, except for rights that by their nature should survive (including Sections 9–11 and 13–14).

13. Changes to these Terms or the Privacy Policy

We may update these Terms or the Privacy Policy from time to time. When we do, we will post the updated version with a new version ID and dates, add the prior version to the Terms archive (and the Privacy archive when Privacy changes), and send you notice—typically by email to the address on your account, or another notice method we make available in the Service—before the stated effective date.

Updated Terms do not become binding on you merely because you continue using the Service. Instead, we will ask you to affirmatively accept the updated Terms (for example, by an in-app acknowledgment or checkbox) before they apply to you. Until you accept, the prior version of the Terms that you already agreed to remains in effect for your account.

If you do not accept an update by the effective date (or by any later acceptance deadline we provide), you must stop using the Service and cancel any paid subscription. We may then restrict or close your account. Privacy Policy updates follow the same notice and affirmative-acceptance process, except where a different process is required by law.

14. Governing law, venue, and disputes

Please read this section carefully. It affects how disputes are resolved. You must be at least 18 years old (or the age of majority where you live, if higher) to agree to arbitration or to purchase a paid subscription, as described in our Privacy Policy eligibility rules.

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules, and by applicable United States federal law, without limiting any mandatory consumer-protection rights that apply in your place of residence.

Informal resolution. Before filing a formal claim, you agree to contact us at legal@shelfmapper.com and try in good faith to resolve the dispute informally for at least 30 days.

Arbitration (individual claims). If the dispute is not resolved and you are eligible to agree to arbitration, either party may elect binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration may be conducted by video or telephone; if an in-person hearing is required, it will be held in a reasonably convenient location for you (for example, your U.S. county of residence) or another mutually agreed place. Judgment on the award may be entered in any court with jurisdiction.

Opt-out. You may opt out of arbitration within 30 days after you first accept these Terms (or first accept a version that adds this arbitration clause) by emailing legal@shelfmapper.com with the subject line “Arbitration Opt-Out” and your account email. If you opt out, Section 14’s arbitration requirement does not apply to you; other parts of these Terms still apply.

Small claims and carve-outs. Either party may bring an individual action in small-claims court if the claim qualifies. Either party may seek provisional injunctive relief in court to protect intellectual property or unauthorized access to the Service. This arbitration agreement does not apply where prohibited by law (including for certain consumers in the EU/EEA, UK, or other jurisdictions that do not permit mandatory pre-dispute arbitration of consumer claims).

Class waiver. To the fullest extent permitted by law, you and ShelfMapper may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. If a court or arbitrator finds this class waiver unenforceable as to a particular claim, that claim (and only that claim) may proceed in court and will not be subject to arbitration.

Forum for non-arbitrable claims. If arbitration does not apply (including because you opted out or law prohibits it), or if a court finds the arbitration agreement unenforceable as to a particular claim, then—unless mandatory law requires otherwise—that claim must be brought in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there, except that consumers may also bring eligible claims in the courts of their place of residence where required by law.
